Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sous (the "App" or "Service"), provided by Donut Industries, LLC ("Donut Industries," "we," "us," or "our"). By creating an account, starting a free trial, or otherwise using Sous, you agree to these Terms. If you do not agree, do not use the App.
1. Agreement to Terms
This is a legal agreement between you and Donut Industries, LLC. It applies to your use of the Sous iOS app and any related services. Our separate Privacy Policy explains how we collect and use your information and is incorporated into these Terms by reference.
2. Description of the Service
Sous is a cooking assistant app built around a persistent, AI-editable recipe canvas. The Service lets you generate recipes, import existing recipes, chat with an AI assistant to adapt recipes in real time, save preferences and memories, and use related cooking-support features (timers, mise en place extraction, voice interaction, and similar tools as they are released).
We may add, change, or remove features at any time, and may discontinue the Service in whole or in part with reasonable notice where practicable.
3. Eligibility
You must be at least 13 years old to create a Sous account. If you are under the age of majority in your jurisdiction, you may only use Sous with the involvement and consent of a parent or legal guardian, including for any subscription purchase. Purchases are made through your Apple ID and are subject to Apple's own age and family-sharing controls.
4. Accounts
- Sous accounts are created and authenticated using Sign in with Apple. You are responsible for maintaining the security of your Apple ID and any device on which Sous is installed.
- You agree to provide accurate information and to keep it up to date.
- You are responsible for all activity that occurs under your account.
- You may delete your account at any time from within the App. We will delete or anonymize your account data — including recipes, preferences, and memories — from our active systems within a reasonable period after your request, subject to legal obligations, security backups, and technical limitations. Once submitted, a deletion request cannot be reversed from your end. See our Privacy Policy for more detail on data retention.
5. Subscriptions, Free Trial, and Billing
- Sous Pro is an auto-renewing subscription priced at $4.99/month (or the local equivalent), billed through the Apple App Store.
- New accounts receive a free trial of 14 days or 14 recipes, whichever comes first. At the end of the trial, continued access to recipe generation and related features requires an active Sous Pro subscription.
- Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage or cancel your subscription at any time in your Apple ID account settings — Donut Industries does not process payments directly and cannot cancel or refund a subscription on Apple's behalf.
- All billing, refunds, and payment disputes are handled by Apple under Apple's own policies. Refund requests should be directed to Apple, not to Donut Industries.
- Subscribers are subject to a monthly usage cap (currently 100 new recipes/month). We may adjust this cap or trial terms going forward; material changes will be reflected in the App.
- We reserve the right to change subscription pricing. Price changes will not affect a billing period that has already been paid for, and you will be notified in advance of any change to a recurring price, consistent with Apple's requirements.
6. User Content
"User Content" means anything you submit to Sous, including text messages, photos of recipes or ingredients, pasted recipe text, preferences, and memories.
- You retain ownership of your User Content.
- You grant Donut Industries a worldwide, non-exclusive, royalty-free license to use, store, process, and transmit your User Content as necessary to operate, maintain, secure, and improve the Service — including processing content through third-party AI providers (such as OpenAI) to provide the functionality you request, like generating a recipe or extracting text from a photo. We do not use your User Content to train AI models. See our Privacy Policy for more detail.
- You represent that you have the right to submit any content you upload (for example, a photo of a recipe card or cookbook page) and that doing so does not infringe a third party's rights. Sous is intended for your personal use of recipes you import; we do not claim ownership over third-party recipes you bring into the App.
- We may remove or refuse to process User Content that we reasonably believe violates these Terms or applicable law.
7. AI-Generated Content and Food Safety Disclaimer
This section matters more than the others — please read it.
- Recipes, substitutions, cooking times, temperatures, and other guidance in Sous are generated or modified by an AI model. AI-generated content can be inaccurate, incomplete, or unsafe and is provided "as is," without warranty of any kind.
- You are solely responsible for food safety when using Sous, including verifying safe internal cooking temperatures, checking for allergens, confirming ingredient substitutions are appropriate for your dietary needs and any food allergies or sensitivities, and using your own judgment about whether a recipe or instruction is sound.
- Sous is not a substitute for professional culinary, nutritional, or medical advice. If you have food allergies, a medical condition affected by diet, or any other health-related dietary restriction, consult a qualified professional before relying on AI-generated recipe content.
- Donut Industries is not liable for any illness, injury, allergic reaction, or other harm arising from your use of a recipe or instruction generated through the App.
8. Acceptable Use
You agree not to:
- Use Sous for any unlawful purpose or in violation of these Terms;
- Attempt to circumvent usage limits, subscription requirements, or other technical restrictions;
- Reverse engineer, decompile, or attempt to extract the source code of the App, except as permitted by applicable law;
- Use the Service to generate, request, or distribute content that is unlawful, harassing, or harmful to others;
- Interfere with or disrupt the integrity or performance of the Service.
We may suspend or terminate your access for violating this section.
9. Intellectual Property
The Sous name, logo, app design, and underlying software are owned by Donut Industries, LLC and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, branding, or proprietary software outside of your personal use of the App.
10. Copyright Complaints
If you believe content accessible through Sous infringes your copyright, contact us at hello@donutindustries.com with:
- a description of the copyrighted work you believe is infringed;
- a description of the allegedly infringing material and where it appears within the Service;
- your contact information; and
- a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law.
We will review reports in good faith and take appropriate action, which may include removing or disabling access to the material in question.
11. Third-Party Services
Sous relies on third-party services to operate, including Apple (App Store distribution, Sign in with Apple, payment processing) and AI model providers (for recipe generation, chat, and voice features). Your use of Sous is also subject to the applicable terms of those providers. We are not responsible for the availability, accuracy, or conduct of third-party services.
12. Termination
You may stop using Sous and delete your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the App ends immediately; sections of these Terms that by their nature should survive (e.g., disclaimers, limitation of liability, intellectual property) will continue to apply.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR SAFE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DONUT INDUSTRIES, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $50.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
15. Indemnification
You agree to indemnify and hold harmless Donut Industries, LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Service.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (such as an in-app notice or updated "Last Updated" date). Continued use of Sous after changes take effect constitutes acceptance of the revised Terms.
17. Governing Law and Binding Arbitration
17.1 Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles.
17.2 Agreement to Arbitrate — Please Read Carefully
You and Donut Industries, LLC agree to resolve any dispute between you and us through binding individual arbitration, instead of in court, except as described below. By agreeing to these Terms, you are giving up your right to bring a claim in court or to have a jury resolve your dispute, and you are giving up your right to participate in a class action against us.
This arbitration agreement covers any dispute relating to the Service, these Terms, your subscription, or your use of the App, except for:
- claims that qualify for small claims court, for as long as they stay in that court;
- claims relating to intellectual property infringement; and
- disputes about the validity, scope, or enforceability of this arbitration agreement itself, which a court may decide.
17.3 How Arbitration Works
Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. For claims under $10,000, Donut Industries, LLC will pay any arbitration filing, administrative, and arbitrator fees beyond what you would have paid to file the same claim in court. Arbitration will take place in New Jersey, or by phone or videoconference if you prefer. The arbitrator's decision is final and binding, subject only to the limited judicial review available under the Federal Arbitration Act.
17.4 No Class Actions
You and Donut Industries, LLC may bring claims against each other only on an individual basis — not as part of a class, consolidated, or representative action. The arbitrator has no authority to combine more than one person's claims or to preside over any class or representative proceeding.
17.5 Claims Not Subject to Arbitration
For any claim excluded from arbitration under Section 17.2, you agree that the state or federal courts located in New Jersey have exclusive jurisdiction, and you consent to personal jurisdiction there.
17.6 Your Right to Opt Out
If you don't want to be bound by this arbitration agreement, you may opt out by emailing hello@donutindustries.com within 30 days of first creating your Sous account, with the subject line "Arbitration Opt-Out" and the email address associated with your account. If you opt out, disputes between us will be resolved in the courts described in Section 17.5 instead, and the rest of these Terms remain in effect.
18. App Store Terms (Apple-Specific Provisions)
Because Sous is distributed through Apple's App Store, the following terms apply in addition to the rest of this agreement:
- This agreement is between you and Donut Industries, LLC only — not with Apple — and Apple is not responsible for the App or its content.
- The license granted to you is limited to a non-transferable license to use the App on Apple-branded devices that you own or control, as permitted by the App Store's Usage Rules.
- Donut Industries, LLC, not Apple, is solely responsible for the App and its content, and for addressing any claims relating to the App, including product liability claims, legal or regulatory compliance claims, and consumer protection claims.
- In the event the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
- Donut Industries, LLC, not Apple, is responsible for addressing any claims by you or a third party relating to intellectual property infringement in connection with the App.
- Apple and Apple's subsidiaries are third-party beneficiaries of this agreement, and upon your acceptance, Apple has the right (and will be deemed to have accepted the right) to enforce this agreement against you as a third-party beneficiary.
19. Miscellaneous
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
- No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Donut Industries, LLC regarding the Service.
- Electronic Communications. By creating an account, you agree that we may provide notices, disclosures, and other communications to you electronically, including through the App or by email, and that this satisfies any legal requirement that such communications be in writing.
- Force Majeure. We are not responsible for delays or failures in the Service caused by events beyond our reasonable control, including internet or cloud-provider outages, natural disasters, government actions, labor disputes, or failures of third-party services we depend on (such as Apple or our AI providers).
- Export and Sanctions Compliance. You represent that you are not located in a country subject to U.S. government embargo, and are not on any U.S. government list of prohibited or restricted parties.
